ATLANTA, November 3, 2003—The following resolution was passed at the Board of Directors meeting held on Tuesday, October 24, 2003:
RESOLVED, that the individuals named below be, and they hereby are, elected to the offices set forth opposite their respective names to assume, effective as of December 31, 2003, the duties and responsibilities fixed by the Bylaws and to serve until the next meeting of the Board of Directors following the next annual meeting of the stockholder and until the election and qualification of the respective successors:
