RESOLVED, that the individuals named below be, and they hereby are, elected to the offices set forth opposite their respective names to assume, effective as of the date of transfer to MARC or hire by MARC, as the case may be, or effective as of December 31, 2004 in any other case, the duties and responsibilities fixed by the Bylaws and to serve until the next meeting of the Board of Directors following the next annual meeting of the stockholder and until the election and qualification of their respective successors:
